Terms of Trade

Lapp Connecto complies with the NL09, NL10 or NLM10 general sales conditions with the following changes and/or additions.

Please note that sanctions enforced by the European union (“EU Sanctions”) include export restrictions applicable to Lapp Connecto’s products, including the prohibitions to sell, export, re-export (directly or indirectly) to Russia or for use in Russia products listed by Council Regulation (EU) No 833/2014*. Our customers and dealers should always comply with the EU Sanctions applicable to Lapp Connecto’s products and use their best efforts to ensure that also the supply chain until the end users shall comply with such obligation. Use of intermediaries to circumvent the EU Sanctions is strictly prohibited. Breach of these obligations constitutes a material breach of the agreement/contract, and Lapp Connecto has the right to take appropriate adequate remedial actions, including, but not limited to immediate termination of the agreement/contract relation.

No Re-Export to Russian Federation

  1. The [Buyer] shall not sell, export or re-export, directly or indirectly, to the Russian Federation or for use in the Russian Federation any goods supplied under or in connection with this Agreement that fall under the scope of Article 12g of Council Regulation (EU) No 833/2014.  
  2. The [Buyer] shall undertake its best efforts to ensure that the purpose of paragraph (1) is not frustrated by any third parties further down the commercial chain, including by possible resellers.
  3. The [Buyer] shall set up and maintain an adequate monitoring mechanism to detect conduct by any third parties further down the commercial chain, including by possible resellers, that would frustrate the purpose of paragraph (1).
  4. Any culpable violation of paragraphs (1), (2) or (3) shall constitute a material breach of an essential element of this Agreement, and the [Exporter/Seller] shall be entitled to seek appropriate remedies, including, but not limited to:
    1. immediate termination of this Agreement for just cause; and
    2. a penalty of 100% of the total value of the net value of the respective order whereas the [Buyer] is expressly permitted to prove that a damage has either not occurred or is substantially less than the penalty.
  5. The [Buyer] shall immediately inform the [Exporter/Seller] about any problems in applying paragraphs (1), (2) or (3), including any relevant activities by third parties that could frustrate the purpose of paragraph (1). The [Buyer] shall make available to the [Exporter/Seller] information concerning compliance with the obligations under paragraph (1), (2) and (3) within two weeks of the simple request of such information.
